Terms of Service
These Terms of Service govern your access to and use of the RepInsider platform at repinsider.com, operated by YWM Consulting Inc., based in Illinois ("RepInsider," "we," "us," or "our"). RepInsider is a product of YWM Consulting Inc.
By creating an account or using the platform, you agree to be bound by these Terms. If you do not agree, do not use RepInsider.
1. Who Can Use RepInsider
RepInsider is a professional platform designed for medical device and medical technology sales representatives and their managers. By creating an account, you represent and warrant that:
- You are 18 years of age or older
- You are currently employed or contracted in the medical device or medical technology industry
- The information you provide during account creation is accurate and current
- You have the authority to agree to these Terms
We reserve the right to verify your professional status and to terminate accounts that do not meet these requirements.
2. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
- Use a strong, unique password for your RepInsider account
- Notify us immediately of any unauthorized access to your account
- Not share your account credentials with others
- Not create multiple accounts for the same individual
3. Subscription Plans and Billing
Available plans
- Free: Individual use. Unlimited account cards and surgeon cards. Up to 3 guest share links per calendar month. No team features.
- Team: Per-seat pricing at $35 per seat per month, with a minimum monthly charge of $140. Includes shared workspace, unlimited sharing, manager overview, coverage assignment, and locked fields. Team plans are made available following a sales consultation and are not sold via self-service checkout.
Billing and auto-renewal
Paid subscriptions are billed in advance on a monthly basis based on the number of seats provisioned for your team, unless otherwise agreed in writing (for example, an annual commitment or invoiced billing arrangement). Your subscription will automatically renew at the end of each billing period unless cancelled prior to the renewal date. By subscribing, you authorize RepInsider to charge your payment method, or to invoice you under agreed payment terms, on a recurring basis.
Seat changes and proration
Adding seats to a Team subscription during a billing period will be prorated for the remainder of that period and reflected in the following invoice. Removing seats takes effect at the start of the next billing period; RepInsider does not provide credits or refunds for seats removed mid-period.
Cancellation
You may cancel your subscription at any time by contacting support@repinsider.com. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the period ends.
Refunds
Payments are generally non-refundable once a billing period has begun. If you believe you have been charged in error, contact support@repinsider.com within 30 days of the charge and we will review in good faith.
Price changes
We reserve the right to change subscription pricing with at least 30 days' notice via email. Continued use of the platform after a price change constitutes acceptance of the new pricing. Pricing agreed in a signed order form or written agreement will be honored for the term specified in that agreement.
4. Team Accounts and Seat Management
Team subscriptions are purchased and managed by a designated team manager or principal. The following terms apply:
- Seats: Team plans are billed per seat, with a minimum monthly charge of $140. There is no maximum seat limit; teams of any size may subscribe.
- Manager responsibility: The team manager is responsible for all charges associated with the team subscription.
- Member removal: When a manager removes a member, that member loses shared workspace access immediately and reverts to Free tier. Removing a member does not automatically reduce the billed seat count until the next billing period.
- Subscription cancellation: All team members revert to Free tier at the end of the billing period. Shared workspace content is retained for 30 days before deletion.
- Data visibility: Content entered by reps into a shared team workspace is accessible to the team manager, who may view, edit, and lock fields.
5. Guest Share Links
Users may generate guest share links to share individual account card content with others outside their team.
- Free accounts: Limited to 3 guest share links per calendar month, resetting on the first of each month.
- Team accounts: Unlimited guest share links.
- Expiry: Guest share links expire 6 hours after generation.
- Read-only: Recipients can view account card content only. No login required. Recipients cannot edit, copy, or export platform content.
- Your responsibility: You are responsible for who receives your guest links. Do not share links containing sensitive facility or contact information with unauthorized individuals.
6. Playbook Content and Acceptable Use
Your responsibilities
When you submit playbook content, you represent and warrant that:
- Your content is based on genuine, first-hand professional experience
- Your content is accurate to the best of your knowledge
- You are not submitting false, misleading, or fabricated information
- Your content does not violate any confidentiality agreement or employment contract
- You have the right to share the information you are submitting
- Contact names submitted are individuals you have interacted with professionally
Allowed content
- Facility logistics and vendor access information
- Credentialing system and check-in procedures
- SPD and operational department contacts
- Surgeon preferences and case preparation notes
- General account and territory intel
Prohibited content
- Patient information or Protected Health Information (PHI) of any kind
- Medical records or clinical documentation
- Confidential hospital or employer documents you are not authorized to share
- Sales pipeline, pricing, or proprietary CRM data belonging to your employer
- Personal contact information for individuals who have not consented to being listed
7. Prohibited Uses
You agree not to use RepInsider to:
- Submit false, fabricated, or deliberately misleading facility information
- Harm, harass, or defame any individual, facility, or organization
- Scrape, copy, or redistribute platform content without written permission
- Attempt to gain unauthorized access to other accounts or platform systems
- Use the platform for any commercial purpose other than your own professional use
- Introduce malware, viruses, or any code that could disrupt the platform
- Impersonate another person or misrepresent your professional affiliation
- Violate any applicable local, state, national, or international law
8. Healthcare Compliance
Users are solely responsible for ensuring their use of RepInsider complies with all applicable healthcare regulations, including:
- Hospital and facility vendor credentialing requirements
- HIPAA and patient privacy regulations
- Your employer's compliance policies and code of conduct
- Applicable state and federal laws governing medical device sales activities
9. AI Features
RepInsider may offer AI-powered features as part of the Team plan. These features process your playbook data to generate coverage recommendations and operational insights within the platform. Your data is not used to train AI or machine learning models without your explicit, opt-in consent. AI-generated outputs are suggestions only — you remain solely responsible for all coverage decisions and professional judgment.
10. Intellectual Property
RepInsider and its original content, features, and functionality are owned by YWM Consulting Inc. and protected by applicable intellectual property laws. You retain ownership of the content you create and enter into the platform. By using the platform, you grant RepInsider a limited, non-exclusive license to store, display, and process your content solely to provide the service to you.
11. Disclaimer of Warranties
RepInsider is provided "as is" and "as available" without warranties of any kind. We do not warrant that the platform will be uninterrupted or error-free, that facility information is accurate or current, or that the platform will meet your specific professional needs. Always use your own professional judgment when relying on platform content.
12. Limitation of Liability
To the maximum extent permitted by law, RepInsider and YWM Consulting Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including reliance on inaccurate facility information, loss of business, or unauthorized account access.
Our total liability for any claim shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.
13. Indemnification
You agree to indemnify and hold harmless RepInsider, YWM Consulting Inc., and their officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the platform, your content submissions, or your violation of these Terms.
14. Termination
RepInsider reserves the right to suspend or terminate your account at any time for any reason including violation of these Terms. You may delete your account at any time by contacting us. Upon termination, your right to access the platform ceases immediately. For paid accounts terminated by RepInsider for cause, no refund will be issued.
15. Governing Law
These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Illinois.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform at least 14 days before changes take effect. Continued use of RepInsider after changes are posted constitutes your acceptance of the updated Terms.
