RepInsider Terms of Use

1. Who Can Use RepInsider

RepInsider is a professional platform designed exclusively for active medical device and medical technology sales representatives. By creating an account, you represent and warrant that:

• You are 18 years of age or older
• You are currently employed or contracted as a medical device or medical technology representative
• The information you provide during account creation is accurate and current
• You have the authority to agree to these Terms

We reserve the right to verify your professional status and to terminate accounts that do not meet these requirements.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Use a strong, unique password for your RepInsider account
• Notify us immediately of any unauthorized access to your account
• Not share your account credentials with others
• Not create multiple accounts for the same individual

During the private beta, access also requires a beta password provided by RepInsider. You agree not to share this password outside of the vetted beta group.

3. Contributions and Content

Your responsibilities as a contributor

When you submit intel, experiences, corrections, or any other content ("Contributions") to RepInsider, you represent and warrant that:

• Your Contributions are based on your genuine, first-hand professional experience
• Your Contributions are accurate to the best of your knowledge at the time of submission
• You are not submitting false, misleading, or fabricated information
• Your Contributions do not violate any confidentiality agreement, employment contract, or non-disclosure agreement you are subject to
• You have the right to share the information you are submitting
• Contact names you submit are individuals you have interacted with in a professional capacity

License to your Contributions

By submitting Contributions to RepInsider, you grant RepInsider a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute your Contributions as part of the Platform. You retain ownership of your original content.

Content we may remove

RepInsider reserves the right to review, edit, or remove any Contribution that:

• Is inaccurate, misleading, or unverifiable
• Violates these Terms or our community standards
• Contains personal attacks, harassment, or defamatory content
• Includes confidential business information belonging to your employer
• Violates any applicable law or regulation

4. Prohibited Uses

You agree not to use RepInsider to:

• Submit false, fabricated, or deliberately misleading facility information
• Harm, harass, or defame any individual, facility, or organization
• Scrape, copy, or redistribute platform content without written permission
• Attempt to gain unauthorized access to other accounts or platform systems
• Use the platform for any commercial purpose other than your own professional use as a medical device rep
• Introduce malware, viruses, or any code that could disrupt the platform
• Impersonate another person or misrepresent your professional affiliation
• Violate any applicable local, state, national, or international law

5. Healthcare Compliance

RepInsider is a professional networking and information-sharing tool. Users are solely responsible for ensuring their use of the platform complies with all applicable healthcare regulations, including but not limited to:

• Hospital and facility vendor credentialing requirements
• HIPAA and patient privacy regulations — do not submit any patient information
• Your employer's compliance policies and code of conduct
• Applicable state and federal laws governing medical device sales activities

RepInsider does not facilitate, encourage, or condone any activity that violates healthcare compliance laws or regulations. Information on the platform is shared for professional navigation purposes only.

RepInsider is provided "as is" and "as available" without warranties of any kind. We do not warrant that:

• The platform will be uninterrupted, error-free, or secure at all times
• Any facility information on the platform is accurate, current, or complete
• The platform will meet your specific professional needs

All facility intel on RepInsider is contributed by third-party users. RepInsider does not independently verify all submitted information. Always use your own professional judgment when relying on platform content.

8. Limitation of Liability

To the maximum extent permitted by law, RepInsider and [Legal Entity] shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to reliance on inaccurate facility information, loss of business, or unauthorized access to your account.

Our total liability to you for any claim arising from use of the platform shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless RepInsider, [Legal Entity], and their officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the platform, your Contributions, or your violation of these Terms.

10. Termination

RepInsider reserves the right to suspend or terminate your account at any time, with or without notice, for any reason including violation of these Terms. You may also delete your account at any time by contacting us.

Upon termination, your right to access the platform ceases immediately. Anonymized contributions you have submitted may remain on the platform.

11. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any disputes arising from these Terms or your use of RepInsider shall be resolved in the courts of Illinois.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform. Your continued use of RepInsider after changes are posted constitutes your acceptance of the updated Terms.
